1.1 Binding Agreement. These Terms of Service ("Terms"), together with any Order Form, Service Agreement, or subscription confirmation (collectively, the "Agreement"), constitute a legally binding agreement between Lodestone Horizons, LLC, a Texas limited liability company ("Lodestone Horizons," "we," "us," or "our"), and the individual or entity accessing or using our Services ("Customer," "you," or "your").
1.2 Acceptance. By creating an account, accessing the Services, clicking "I Agree," or using an API key issued by Lodestone Horizons, you represent that you have read, understood, and agree to be bound by these Terms. If you are entering into this Agreement on behalf of an organization, you represent that you have authority to bind that organization.
1.3 Eligibility. You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use the Services.
1.4 Rejection. If you do not agree to these Terms in their entirety, you may not access or use the Services.
"API" means the application programming interface(s) provided by Lodestone Horizons through which Customers access the Services programmatically.
"Assessment" means any compliance evaluation, scoring, report, or output generated by the Services in response to Customer inputs.
"Customer Data" means any data, content, or information submitted by Customer to the Services.
"Documentation" means the then-current user guides, API references, and getting-started materials published by Lodestone Horizons describing use of the Services.
"Law Database" means the regulatory content database maintained by Lodestone Horizons comprising federal, state, and other applicable laws used to generate Assessments.
"Law Database Version" means the version identifier and timestamp included in each Assessment indicating the state of the Law Database at the time the Assessment was generated.
"Regulatory Content" means the legal and regulatory information contained in the Law Database, including statutes, regulations, penalty schedules, and interpretive guidance.
"Services" means the software-as-a-service products, APIs, reports, and associated tools provided by Lodestone Horizons, currently including GATE, LENS, and VEIL, together with any other product Lodestone Horizons makes commercially available under its brand from time to time.
"Subscription" means Customer's paid or trial subscription to one or more Services, as reflected in the applicable Order Form, checkout confirmation, or Lemon Squeezy subscription record.
3.1 Services Overview. Lodestone Horizons provides compliance informational software products built on IEEE standards, designed to assist Customers in understanding regulatory requirements applicable to their platforms. Services include GATE (age verification compliance), LENS (AI explainability compliance), VEIL (privacy term negotiation), and others as described at lodestonehorizons.com.
3.2 Informational Tool Only. The Services are software tools that generate informational output. They are not legal services. See Section 4.
3.3 Service Availability. Lodestone Horizons will use commercially reasonable efforts to make the Services available but does not warrant uninterrupted or error-free availability.
4.1 No Legal Advice. THE SERVICES, INCLUDING ALL ASSESSMENTS, REPORTS, RECOMMENDATIONS, REGULATORY CONTENT, AND OTHER OUTPUT, ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. THE SERVICES DO NOT CONSTITUTE LEGAL ADVICE, LEGAL OPINIONS, OR THE PRACTICE OF LAW. LODESTONE HORIZONS IS NOT A LAW FIRM.
4.2 Obligation to Obtain Legal Counsel. Customer must obtain independent legal counsel to: (a) verify the accuracy and applicability of any Assessment to Customer's specific situation; (b) interpret Customer's legal obligations under applicable law; (c) make compliance decisions affecting Customer's operations; and (d) evaluate any regulatory risks identified in an Assessment.
4.3 No Reliance Without Counsel. Customer shall not make compliance decisions solely on the basis of an Assessment without independent legal review. Assessments represent Lodestone Horizons' informational interpretation of applicable law as of the Law Database Version indicated and may be incomplete, inapplicable to Customer's specific circumstances, or may not reflect subsequent changes in law.
4.4 No Attorney-Client Relationship. No attorney-client relationship is formed between Lodestone Horizons and Customer by virtue of these Terms or use of the Services.
4.5 Disclaimer in Output. Every Assessment includes a disclaimer that it is informational only, is not legal advice, and reflects the Law Database Version indicated. Customer agrees not to remove or obscure this disclaimer in any use or distribution of Assessment output.
5.1 Law Database Versioning. Every Assessment includes a Law Database Version identifier and timestamp. Customer acknowledges that the legal landscape changes frequently and that an Assessment is accurate only as of the Law Database Version indicated.
5.2 Update Commitment. Lodestone Horizons will use commercially reasonable efforts to update the Law Database within thirty (30) days of a material change to a covered law becoming effective. This is a best-efforts obligation, not a warranty of currency.
5.3 Scope Limitations. The Law Database covers a defined set of jurisdictions as disclosed in the Documentation. An "UNKNOWN" status means no data is available for the specified inputs — not that no laws apply. Customer must consult legal counsel when an UNKNOWN status is returned.
5.4 Interpretation Limitations. Regulatory Content reflects Lodestone Horizons' informational interpretation of applicable statutes and regulations. Laws are subject to judicial interpretation and enforcement actions not reflected in the Law Database. Customer must consult legal counsel regarding authoritative interpretations.
6.1 Customer must provide accurate account information and maintain its currency. 6.2 Customer is solely responsible for the security of its API keys and must not share them with unauthorized parties. 6.3 Customer is responsible for all activity conducted through its account. 6.4 Customer must notify Lodestone Horizons immediately of any unauthorized account access at security@lodestonehorizons.com.
7.1 License Grant. Lodestone Horizons grants Customer a limited, non-exclusive, non-transferable license to access and use the Services for Customer's internal business compliance purposes during the Subscription term.
7.2 Prohibited Use. Customer may not: (a) use the Services to provide legal advice to third parties; (b) resell or sublicense access without written consent; (c) reverse engineer the Services; (d) remove disclaimers or attribution; (e) use the Services in violation of applicable law; (f) circumvent rate limits or access controls; (g) scrape or systematically extract the Law Database; or (h) misrepresent any Assessment to any regulator, court, or third party.
Customer's API usage is subject to plan limits. Lodestone Horizons may throttle or suspend API access for violations. API response metadata including Law Database Version, timestamp, and disclaimer text must not be suppressed or modified. Lodestone Horizons will support deprecated API versions for ninety (90) days after notice of deprecation.
9.1 Free Trial. New Customers may access a Service under a fourteen (14) day free trial; no payment method is required to begin. At the end of the trial period, Customer must subscribe to continue access. If Customer does not subscribe, the associated license key is deactivated automatically and access to that Service ends. Lemon Squeezy administers trial periods; trial eligibility is limited to one trial per Customer per Service.
9.2 Fees. Fees are as set forth in the applicable Order Form or published pricing. Fees are due in advance, in U.S. dollars, and are generally non-refundable. Customer is responsible for all applicable taxes. Overdue amounts bear interest at 1.5% per month or the maximum rate permitted by law. Lodestone Horizons may suspend access for accounts more than fifteen (15) days past due.
The Services, Law Database, Assessment methodologies, and all intellectual property therein are the exclusive property of Lodestone Horizons. Certain methods and systems are the subject of pending U.S. patent applications. These Terms do not transfer any ownership interest in the Services to Customer. Customer retains ownership of Customer Data.
Each party will maintain the other's Confidential Information using reasonable care. The structure and content of the Law Database constitute Confidential Information of Lodestone Horizons. Standard exclusions apply for publicly available, independently developed, or legally required disclosures.
Data collection and use is governed by the Lodestone Horizons Privacy Policy. Lodestone Horizons will not sell Customer Data. Enterprise Customers requiring a Data Processing Addendum may request one at legal@lodestonehorizons.com. Customers should not submit individual users' personally identifying information to the Services unless specifically required for a documented Service feature.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LODESTONE HORIZONS DISCLAIMS ALL WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; WARRANTIES THAT SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE; WARRANTIES THAT ANY ASSESSMENT IS ACCURATE, COMPLETE, OR CURRENT; WARRANTIES THAT THE LAW DATABASE REFLECTS THE CURRENT STATE OF ANY LAW; AND WARRANTIES THAT USE OF THE SERVICES WILL RESULT IN COMPLIANCE WITH ANY LAW OR REGULATION.
14.1 IN NO EVENT SHALL LODESTONE HORIZONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, REGULATORY FINES OR PENALTIES, ENFORCEMENT ACTION COSTS, LEGAL FEES, LOSS OF DATA OR GOODWILL, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.2 EXCEPT FOR LODESTONE HORIZONS' INDEMNIFICATION OBLIGATIONS UNDER SECTION 15.2 OR A BREACH OF CONFIDENTIALITY UNDER SECTION 11, LODESTONE HORIZONS' TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).
14.3 LODESTONE HORIZONS SHALL NOT BE LIABLE UNDER ANY CIRCUMSTANCES FOR ANY REGULATORY FINE, CIVIL PENALTY, ENFORCEMENT ACTION, SETTLEMENT AMOUNT, OR OTHER REGULATORY CONSEQUENCE IMPOSED ON CUSTOMER BY ANY GOVERNMENT AUTHORITY, INCLUDING PENALTIES UNDER ANY AGE VERIFICATION LAW, COPPA, THE EU AI ACT, BIPA, OR ANY OTHER LAW.
14.4 Customer acknowledges these limitations reflect a reasonable allocation of risk and are an essential element of the basis of the bargain.
15.1 Customer Indemnification. Customer shall indemnify, defend, and hold harmless Lodestone Horizons and its officers, directors, members, employees, and agents from any claims arising out of or relating to: (a) Customer's use of the Services in violation of these Terms; (b) Customer's reliance on any Assessment without obtaining independent legal advice; (c) Customer's misrepresentation of any Assessment to any third party, regulator, or court; (d) Customer's violation of any applicable law; (e) Customer's removal of any required disclaimer or metadata; or (f) any claim by a third party arising from Customer's products or services.
15.2 Lodestone Horizons will indemnify Customer against third-party claims alleging that Customer's authorized use of the Services infringes a U.S. patent, copyright, or trademark, subject to standard exclusions.
Lodestone Horizons may modify the Services or these Terms at any time. Material changes that negatively impact Customer's use will be communicated with at least thirty (30) days' notice. Continued use after the effective date of updated Terms constitutes acceptance. Law Database updates are applied automatically and do not constitute a Terms modification.
These Terms continue for the duration of Customer's Subscription. Customer may cancel its Subscription at any time through the Lemon Squeezy customer portal; cancellation takes effect at the end of the then-current billing period, and no partial-period refund is issued except as required by law. Either party may terminate for material uncured breach. Lodestone Horizons may suspend or terminate immediately for legal risk, security concerns, or non-payment. Upon termination, Customer has thirty (30) days to export Assessment records. Sections 4, 5, 10, 11, 13, 14, 15, 18, and 19 survive termination.
These Terms are governed by the laws of the State of Texas without regard to conflict of law principles. Disputes shall be resolved by binding arbitration administered by the AAA under its Commercial Arbitration Rules, conducted in Collin County, Texas. The parties waive any right to participate in class action litigation. For disputes within small claims court jurisdiction, either party may proceed in small claims court. Any claim must be brought within one (1) year of accrual.
These Terms constitute the entire agreement between the parties regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Customer may not assign these Terms without written consent. Neither party is liable for force majeure events. The parties are independent contractors. Notices are effective upon email delivery to the addresses on file.
